ARCLING TERMS OF USE

These Terms of Use ("Terms") govern your access to and use of the websites, applications, tools, advisory services, chat experiences, educational planning resources, and related features (collectively, the "Services") provided by Driftline Strategy LLC, a Massachusetts limited liability company doing business as Arcling ("Arcling," "we," "us," or "our").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Services.

The Services are intended for parents, legal guardians, and students age sixteen (16) and older.

If you are under eighteen (18), you represent that you have the consent of a parent or legal guardian to use the Services.

Parents and legal guardians may provide information relating to themselves and their children in connection with educational planning, college admissions, career exploration, and related services.

The Services are not directed to children under thirteen (13), and we do not knowingly collect personal information from children under thirteen (13).

2. Description of Services

Arcling provides informational resources, educational planning tools, AI-powered advisory experiences, college readiness resources, career exploration guidance, and related services.

The Services are provided for informational purposes only and do not constitute financial, legal, educational, admissions, tax, or professional advice.

Arcling does not guarantee admission to any educational institution, scholarship award, employment opportunity, or specific outcome.

3. Referral Partners and Data Sharing

Arcling may connect users with third party educational institutions, tutoring providers, test preparation providers, scholarship providers, admissions advisors, career services providers, educational technology companies, and other related organizations ("Referral Partners").

By providing information through the Services, including your name, email address, telephone number, educational preferences, academic interests, planning goals, responses to forms, surveys, and chat interactions, you authorize Arcling to share such information with selected Referral Partners whose products or services may be relevant to your educational goals and interests.

If you provide a telephone number, you acknowledge and agree that Arcling and Referral Partners may contact you at that number by call or text message, which may include the use of automated dialing technology where permitted by law. Message and data rates may apply. You are not required to provide a telephone number to use the Services.

Arcling does not control and is not responsible for the services, communications, representations, privacy practices, or conduct of any Referral Partner. Your interactions with any Referral Partner are solely between you and that partner.

By providing your contact information, you consent to receive communications from Arcling and, where applicable, Referral Partners.

If you provide a telephone number and later wish to stop receiving messages from a sender, you may use any opt-out mechanism provided by that sender, including replying STOP where applicable.

You may not reproduce, distribute, modify, reverse engineer, scrape, create derivative works from, or otherwise exploit the Services without prior written consent.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCLING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

ARCLING DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPLETELY ACCURATE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCLING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SERVICES.

IN NO EVENT SHALL ARCLING'S TOTAL LIABILITY EXCEED THE GREATER OF:

(A) ONE HUNDRED DOLLARS ($100); OR

(B) THE AMOUNTS PAID BY YOU TO ARCLING DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Arcling, its officers, managers, employees, contractors, affiliates, and agents from any claims, liabilities, damages, losses, costs, and expenses arising from:

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms or applicable law.

Upon termination, all rights granted to you under these Terms will immediately cease.

Sections that by their nature should survive termination shall survive termination.

You may not assign these Terms without our prior written consent.

Arcling may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or change of control.

These Terms shall be binding upon and inure to the benefit of the parties and their successors and permitted assigns.

14. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts without regard to conflict of law principles.

Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Massachusetts, and you consent to the jurisdiction of those courts.

15. Changes to These Terms

We may modify these Terms from time to time.

Updated Terms become effective upon posting to the Services.

Your continued use of the Services following any update constitutes acceptance of the revised Terms.

16. Entire Agreement

These Terms constitute the entire agreement between you and Arcling regarding the Services and supersede all prior or contemporaneous agreements relating to the Services.
